Terms of Service

1. The Service

ForgedHelix provides business software and reporting for retail inventory analysis: you upload point-of-sale exports (products, sales, vendors, invoices, and discounts), and the Service analyzes them to identify slow-moving and at-risk inventory and to produce structured reports, promotion plans, and related recommendations. The Service is offered to businesses only — it is not a consumer product.

2. Access is invite-only

Access to the Service requires our approval. You may request access; we may approve, decline, or revoke access at our discretion. An approved account also requires payment (Section 4) before data upload, analysis, and reporting features unlock. We may suspend or revoke approval at any time, including where an account is used in breach of these Terms.

3. Your account

You are responsible for the accuracy of the information you provide, for safeguarding your login credentials, and for all activity under your account, including activity by your staff. Notify us promptly at [email protected] if you suspect unauthorized use. You must be a lawfully operating business in the jurisdiction where you operate to use the Service.

4. Fees and payment

The Service is provided on a recurring monthly basis at the price presented to you or agreed with us in writing, charged per dispensary location. The fee covers ForgedHelix’s software and reporting service: your data upload, the recovery analysis, and your reports. The Service continues month to month until canceled in accordance with your agreement with us.

Each monthly payment is collected separately — we do not automatically charge a stored card. Payments are processed by Stripe or, where we agree to an alternative arrangement (invoice, ACH, or check), by that method. Access unlocks when a payment is received and continues while your account is current. ForgedHelix never receives or stores your card details.

Where we agree in writing to an introductory or charter-partner rate, that rate applies only as stated in that agreement. Fees are exclusive of any applicable taxes, which are your responsibility. Prices may change for future billing periods.

First-month guarantee.We guarantee that our analysis will identify at least three times (3×) your first month’s subscription in revenue recovery opportunities; if it does not, we will not invoice you for your first month. This is assessed at the free in-person review, before any payment is due, so no charge is made and no refund arises. “Revenue recovery opportunities” means the recoverable value our analysis and recommendations identify from the data you provide — it is an estimate of opportunity we surface, not a guarantee of revenue you will actually realize, which depends on the actions you choose to take. The guarantee applies to the first month only.

6. Your data and our license to process it

You own the business data you upload to the Service (“Customer Data”). You grant ForgedHelix a non-exclusive license to host, process, and analyze Customer Data solely to provide, secure, and improve the Service for you and to generate your reports and recommendations. You represent that you have all rights necessary to upload the Customer Data and to grant this license. Our collection and handling of personal information is described in the Privacy Policy.

8. Acceptable use

You must not, and must not permit anyone to:

• use the Service in violation of law, or share access with anyone outside your business;
• resell, sublicense, or provide the Service or its reports to third parties as a service bureau or competing offering;
• reverse engineer, scrape, probe, overload, or interfere with the Service or attempt to access another customer’s data;
• upload malicious code or content, or misrepresent your identity or business in an access request.

10. Intellectual property

ForgedHelix owns the Service, including its software, analysis engine, report formats, and branding. We grant you a limited, non-transferable license to use the Service and to use the reports it generates for your internal business purposes. If you send us feedback or suggestions, we may use them without obligation to you.

11. Third-party services

The Service relies on third-party providers (including payment processing by Stripe and the infrastructure and AI providers listed in the Privacy Policy). We are not responsible for third-party services we do not control, but we choose providers with commercially reasonable care.

12. Term, suspension, and termination

These Terms apply from your first access request and continue while you use the Service. You may stop using the Service, and may request deletion of your account and Customer Data, at any time by emailing [email protected]. We may suspend or terminate access for breach of these Terms, for non-payment or payment reversal, where required by law, or if we discontinue the Service. Sections 5–9 and 13–17 survive termination.

13. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORGEDHELIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY PARTICULAR REVENUE, RECOVERY AMOUNT, OR BUSINESS OUTCOME WILL BE ACHIEVED.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) FORGEDHELIX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA; AND (b) FORGEDHELIX’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO FORGEDHELIX IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

15. Indemnification

You will defend and indemnify ForgedHelix against third-party claims arising from your Customer Data, your use of the Service in breach of these Terms, or your business’s products, pricing, promotions, or regulatory compliance.

16. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of third-party infrastructure, natural disasters, labor disputes, or governmental action. Payment obligations are not excused by this section.

17. Governing law and disputes

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-laws rules. The state and federal courts located in Oklahoma have exclusive jurisdiction over any dispute arising out of these Terms or the Service, and each party consents to venue there. Before filing a claim, the parties will attempt in good faith to resolve any dispute informally by contacting each other.

18. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify you by email or through the Service before it takes effect. The “Last updated” date above reflects the current version. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

19. General

These Terms, together with the Privacy Policy and any written order or payment terms we agree with you, are the entire agreement between us regarding the Service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
